Katherine Rosa, partner of the firm, specializes in different business areas, including banking, local and international financing, project structuring, economic regulation, concessions and regulated industries with a primary focus on energy.  He has represented foreign government agencies, multilateral lending organizations and international commercial banks in the structuring of project financings for the acquisition of projects of various types located in the country, including the acquisition of traditional and renewable energy generation assets.

He also has relevant experience advising developers and promoters for the acquisition and/or development of wind and photovoltaic renewable energy projects, from obtaining the concession to the negotiation and execution of the power purchase agreement.

Since 2019 to date, Katherine has been a recurring panelist in important international energy events held in the country annually, such as Energyear, Future Energy Summit, Renpower Caribbean Investors, and Renpower Caribbean, being her most recent participation this year in Energyear 2024 and Future Energy Summit 2024.

She currently serves as 2nd Treasurer on the board of directors 2024-2426 of the Association for the Promotion of Renewable Energy (Asofer).

Katherine is a Cum Laude graduate of the Universidad Autónoma de Santo Domingo (UASD) LLB, where she also completed a Master’s Degree in Civil Law.  She also completed an LLM in International Business Law at the Universitat de Barcelona.

Relevant Recent Experience

Participation as local counsel in the representation of foreign governmental agencies, multilateral credit organizations and international commercial banks, in the granting and renegotiation of financing between US$60 and US$120 million, for the acquisition of electricity generation assets of approximately 300MW, and wind energy project. Assistance in these transactions has involved working with permits for the approval of new purchasers, change of creditors, modification of guarantees, negotiation of concession contracts and power purchase agreements (PPAs) with the government, in order to make the projects bankable, accompaniment in all negotiations.

Participation in the representation of the State in the renegotiation of a 300MW PPA to facilitate its conversion to two fuels (natural gas and fuel oil), including negotiation of agreements for the transportation of natural gas, among others.

Legal advice to multinational construction companies in investment projects amounting to US$800 million, in power generation assets in the Dominican Republic, whose projects have contemplated the (a) construction of power generation plant; (b) construction of transmission lines; (c) construction of terminal for the import, unloading, shipping, storage, re-gasification, distribution and handling of LNG, with all its facilities and equipment; and (d) construction of maritime facilities for the unloading and/or handling of the fuel.

Assistance to international investment funds and investment banks, as well as local banks in transactions for the execution of investments, financings and restructurings ranging from US$2 million to amounts exceeding US$120 million, in companies owning and operating power generation, tourism real estate development and commercial assets in general, including the conduct of the required due diligence processes.
