Advised Société de Promotion et de Participation pour la Coopération Economique, S.A. (PROPARCO) on a long-term credit facility of up to USD $43 million for the development, construction, and operation of a photovoltaic power plant located in the municipality of Nagua, María Trinidad Sánchez province, in northeastern Dominican Republic. The plant, named Payita I, has a capacity of 50 MWn (60 MWp), and had secured its definitive concession and a 15-year PPA with the state-owned utility EDENORTE.

Advised the initial group of creditors in the due diligence, negotiation, execution process, and registration of collateral for a financing exceeding USD $1 billion, for the design, procurement, construction, and operation of two natural gas combined-cycle power plants, each with a net capacity of approximately 420 MW, and an LNG reception, storage, and regasification terminal with the capacity to supply gas plants totaling at least 800 MW, located in Manzanillo Bay, Montecristi province, Dominican Republic.

Participated as part of the local legal team advising The Bank of Nova Scotia, Banco Latinoamericano de Comercio Exterior, S.A. (BLADEX), Banco Aliado, S.A., and Metrobank, S.A. on a USD $100 million loan to Empresa Generadora de Electricidad Haina, S.A. (EGE Haina) to refinance short-term debt, fund working capital needs, and cover related costs and fees. Legal support included assistance in drafting and registering collateral on various debtor assets.

Acted as local counsel to Citibank, N.A. (Puerto Rico Branch), Banco Popular Dominicano, S.A., Banco General S.A., Banco Industrial, S.A., Banco G&T Continental, S.A., and Popular Bank, Ltd. in the execution and delivery of a syndicated loan to Corporación Cementera Dominicana (CCD), S.R.L., Cemento Dominicana Financial B.V., Cemento Dominicana, S.L., and Cemex Dominicana, S.A. for USD $480 million to acquire Cemex Dominicana, S.A. and Transportes San Pedro, S.R.L., under a Share Purchase Agreement executed in August 2024. JP provided key legal guidance on the establishment of guarantees under Dominican law, including advice on the creation and maintenance of the pledge over Cemex shares. The firm also assisted in the appointment of Banco Popular Dominicano, S.A. as the Dominican collateral agent, ensuring compliance with local legal frameworks.
