  • Jiménez Peña advised the Acciona Group in two merger and acquisition processes in the energy field: (i) Acquisition of 100% of the shares of the special purpose vehicle for Calabaza Project, a 40 MW photovoltaic plant being developed in the town of Tabara Arriba, province of Azua. (ii) Acquisition of shares of the special purpose vehicle for the Electro Solar Project, a 58,162 MW photovoltaic plant to be developed in Galeón, in the municipality of Baní and province of Peravia.
  • Jiménez Peña advised V Energy, SA, a subsidiary of Total, in the acquisition of a majority stake in Plater Investment, SA, one of the main distributors of liquified natural gas (LNG) in the Dominican Republic, whose operations include transportation through virtual and traditional pipelines, regasification plants and service stations, as well as the design, operation and maintenance of all its facilities.
  • Jiménez Peña advised the controlling shareholders of Importadora Dominicana de Maderas, S.A.S., one of the main importers and distributors of wood in the Dominican Republic, which controls a substantial part of the market share in its sector, in the process of selling a stake of 70% in the capital stock to an important national agribusiness group in the Dominican Republic.
  • Jiménez Peña advised Grupo Ramos, a group of domestic department stores, in the fulfillment of a merger operation that involved the acquisition of the national e-commerce start-up com. The integration enabled the client to improve its share in the online retail market. The merger was completed just in time for the group to be able to scale its e-commerce business for the challenges posed by the COVID-19 pandemic and gave the client a significant advantage over other companies in the retail sector. Our team assisted in all business negotiations, corporate and tax matters that led to the successful completion of the merger agreement.
  • Jiménez Peña advised Adevinta Holdco Spain, S.L. and Adevinta Iberica, SL, (entities that are part of the Adevinta Group), in relation to the structuring and sale of its participation in the Dominican subsidiary that owns and operates www.corotos.com.do, one of the main e-commerce platforms in the Dominican Republic, to a group of national investors.
